If I'm to remove one director and appoint a new director in his stead, what should we do about the shareholding of a resigning director which is 50%. How should i give it to new director?

At the time of resignation, the resigning director is not required to forgo the shares. Being a director of a company and a shareholder of a company are two different concepts. If a director resigns from the directorship, he still can remain the shareholder of the company.
